Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Meezi Inc. (株式会社MEEZI), a company incorporated in Japan ("Meezi", "we", "us", or "our"), governing your access to and use of the Meezi mobile application, website, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy. If you do not agree with these Terms, you may not use the Service.

2. Eligibility

You must be at least 18 years of age to create an account and use the Service. By using the Service, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.

Younger family members may benefit from the Service as travel companions on a trip planned by an adult account holder, but only adults aged 18 or older may create or manage an account.

3. Your Account

3.1 Account creation

You may create an account by providing an email address and password, or by signing in with a third-party provider (Apple or Google). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Accurate information

You agree to provide accurate information when creating your account, including your country of residence and date of birth. You may use a Nickname of your choice as your display name.

3.3 Account security

Notify us immediately at ops@meezi-labs.com if you suspect unauthorized access to your account. Meezi is not liable for losses resulting from unauthorized use of your account caused by your failure to safeguard your credentials.

4. The Service

4.1 What Meezi provides

Meezi is a travel planning application that offers, among other features:

• AI-generated itineraries based on your travel preferences
• Curated recommendations for destinations, accommodations, restaurants, and experiences in Japan ("Hidden Gems" and related curated content)
• Map-based exploration of recommended spots
• Trip planning tools, including notes, packing lists, and itinerary management
• Redirection to third-party booking partners for accommodations, activities, and flights

4.2 Beta and early access

The Service may be offered in beta or early access form. During this period, features may be incomplete, change without notice, contain errors, or be temporarily unavailable. We may add, modify, or discontinue features at any time. Your use of beta features is at your own risk.

4.3 Nature of recommendations

All recommendations provided through the Service, including AI-generated itineraries and curated content, are advisory in nature. They are intended to assist your planning and do not constitute professional travel agency services, legal advice, medical advice, or guarantees of any kind regarding the recommended locations, services, or experiences.

5. AI-Generated Content

5.1 Use of AI

The Service uses artificial intelligence, including large language models provided by third parties such as OpenAI, to generate itineraries, suggestions, and other content based on your inputs and preferences.

5.2 No guarantee of accuracy

AI-generated content may contain inaccuracies, outdated information, or recommendations for locations whose operating hours, prices, accessibility, or even existence may have changed. The AI does not have access to real-time information about every business or location and may produce content based on outdated knowledge.

5.3 User responsibility

You are responsible for independently verifying the accuracy of AI-generated recommendations before relying on them, including:

• Confirming operating hours, prices, and availability directly with the recommended location
• Checking current accessibility and safety conditions
• Verifying that the recommended location exists and operates as described

Meezi is not liable for any inconvenience, damages, or losses arising from inaccuracies in AI-generated content.

6. Hidden Gems and Curated Content

6.1 Curation methodology

The "Hidden Gems" feature and other curated content on Meezi are prepared by local curators, including individuals who hold the Japanese Domestic Travel Business Manager license (国内旅行業務取扱管理者), a qualification regulated under the Japan Travel Agency Act covering domestic travel services within Japan.

Our curation draws on multiple sources, including but not limited to:

• Trending content from social media platforms
• Information published by local travel agencies operating in Japan
• Local blogs and community knowledge shared by residents
• On-the-ground research conducted by our curators

6.2 Subjective nature of curation

While we take care to verify and contextualize curated information, all curated recommendations are subjective and reflect the perspective of our curators at the time of publication. Individual experiences at recommended locations may vary based on personal taste, weather, seasonality, operational changes at the location, and other circumstances beyond our control.

6.3 Acknowledgment by user

By using Hidden Gems and other curated content, you acknowledge that:

• Recommendations are advisory and not guarantees of quality, availability, or suitability for your specific needs
• Operating hours, prices, accessibility, and service offerings at recommended locations may change without notice
• You are responsible for verifying current information directly with the location before your visit
• Meezi is not liable for any dissatisfaction, inconvenience, or damages arising from your use of curated recommendations

7. Third-Party Suppliers and Booking Partners

7.1 Independent contractors

Hotels, accommodations, airlines, tour operators, restaurants, attractions, transportation providers, activity providers, and any other businesses recommended by, displayed in, or accessible through the Service ("Third-Party Suppliers") are independent businesses and are not agents, employees, partners, or representatives of Meezi.

Meezi's display of, recommendation of, or ability to redirect you to a Third-Party Supplier does not constitute any endorsement, sponsorship, approval, or guarantee of that supplier or its services.

7.2 Affiliate redirection

The Service may include external booking links that redirect you to Third-Party Suppliers or affiliate platforms (including but not limited to Booking.com, Agoda, Hotels.com, Trip.com, Klook, Viator, operated through Travelpayouts). When such links are available and you click them, you will leave Meezi, and your interaction is governed by the destination service's own terms and privacy policy, not by Meezi's.

Meezi may receive a commission when you make a booking through such affiliate links. This does not affect the price you pay.

7.3 No liability for Third-Party Suppliers

Your interaction with Third-Party Suppliers is at your own risk. Meezi disclaims any and all liability for:

• The quality, accuracy, safety, availability, or legality of services or products provided by Third-Party Suppliers
• Personal injury, death, illness, property damage, theft, loss, or any other harm or damages arising from your interaction with Third-Party Suppliers
• Booking disputes, cancellations, refunds, or pricing issues between you and Third-Party Suppliers
• Misrepresentations, omissions, or negligence by Third-Party Suppliers
• Changes to operating hours, closures, or discontinuation of services by Third-Party Suppliers

Any disputes regarding services obtained from Third-Party Suppliers must be resolved directly with the supplier.

8. Your Responsibilities When Traveling

You are solely responsible for your travel decisions and conduct, including:

• Ensuring you have valid travel documents, visas, vaccinations, and insurance
• Complying with the laws and customs of your destination
• Verifying current safety conditions, advisories, and entry requirements
• Your personal safety, the safety of your travel companions, and the security of your belongings
• Decisions about which recommendations to follow and how to follow them

Meezi is not a travel agent and does not arrange or guarantee any aspect of your physical travel. Meezi is not liable for any incident, injury, illness, accident, loss, theft, or other harm occurring before, during, or after your trip.

9. User-Generated Content

9.1 What you can submit

The Service allows you to submit content ("User Content"), including:

• Photos and videos
• Captions, comments, and travel tips
• Location information about places you have visited
• Hashtags and similar metadata

You retain ownership of your User Content.

9.2 Public posting

All User Content posted through the Service is publicly visible to other users of the Service. Other users will see your User Content alongside your chosen Nickname and (if you have uploaded one) your profile picture. They will not be able to view your full profile, follow you, or access other personal information about you.

By submitting User Content, you understand and agree that:

• Your User Content may be seen, saved, or shared by any other user of the Service
• You should not post content you wish to keep private
• Removing your User Content from the Service does not guarantee that other users have not already saved or copied it elsewhere

9.3 License you grant to Meezi

By submitting User Content to the Service, you grant Meezi a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, display, and create derivative works of your User Content solely for the following purposes:

• Operating and providing the Service, including displaying your User Content to other users
• Improving the Service, including training models on aggregated or anonymized data

Meezi will not use your User Content for advertising or marketing purposes without your separate consent, and will not transfer this license to unrelated third parties.

If you delete your account or specific User Content, this license ends for the deleted content, except with respect to content that has been incorporated into aggregated or anonymized datasets in a form that cannot be linked back to you.

9.4 Your responsibilities and warranties

By submitting User Content, you represent and warrant that:

• You own or have the necessary rights to all elements of your User Content, including photos, videos, music, and other materials
• If your User Content depicts identifiable individuals (including yourself), you have obtained their consent for their image to be publicly displayed through the Service
• If your User Content depicts private property, religious sites, or restricted areas, you have permission to photograph and share images of those locations
• Your User Content does not infringe any third party's intellectual property, privacy, publicity, image, or other rights
• Your User Content does not violate any law or regulation in your jurisdiction or in the jurisdiction where the content was created or where it depicts

You are solely responsible for your User Content and for ensuring that you have the right to share it publicly.

9.5 Prohibited content

You may not submit User Content that:

• Is illegal, fraudulent, defamatory, harassing, hateful, or threatening
• Contains sexually explicit material, nudity, gratuitous violence, or content harmful to minors
• Promotes discrimination, violence, terrorism, or illegal activity
• Depicts identifiable individuals without their consent, especially minors
• Was taken in places where photography is prohibited, including private property, restricted government areas, or religious sites with no-photo policies
• Contains malware, spam, phishing attempts, or unauthorized commercial solicitations
• Impersonates another person or misrepresents your identity, affiliation, or location
• Reveals private information about others without their consent, such as faces, license plates, or addresses
• Violates the rights of third parties, including intellectual property, privacy, publicity, or image rights
• Misrepresents a location, for example by falsely claiming a photo was taken at a place it was not

9.6 Reporting and moderation

Reporting.

The Service provides a reporting function that allows you to flag User Content you believe violates these Terms. To report content, use the in-app reporting feature available on each post, or contact us at ops@meezi-labs.com.

Our review.

Meezi reserves the right (but has no obligation) to review, edit, remove, or refuse any User Content at our discretion. We aim to review reported content within a reasonable time and may take action including:

• Removing the reported content
• Issuing a warning to the user who posted it
• Suspending or terminating the account responsible

We do not pre-screen all User Content, and we do not guarantee that prohibited content will be detected or removed before being seen by other users.

Blocking.

If you encounter content from a user whose posts you no longer wish to see, the Service may provide a function to block their content from appearing in your feed.

Appeals.

If your User Content is removed or your account is suspended and you believe this was in error, contact us at ops@meezi-labs.com to appeal the decision.

9.7 No responsibility for User Content

User Content is created by other users, not by Meezi. Meezi does not endorse, verify, or guarantee the accuracy of any User Content. You access User Content at your own risk.

In particular:

• Tips, recommendations, and information shared by users may be inaccurate, outdated, or misleading
• Locations tagged in User Content may be incorrect or describe inaccessible or unsafe places
• Photos and videos may be misrepresentative of the actual experience at a location

You are responsible for independently verifying any information from User Content before relying on it for your travel decisions.

10. Intellectual Property

10.1 Meezi's content

All content provided by Meezi, including but not limited to text, graphics, logos, design, software, AI-generated outputs (other than those derived from your direct inputs), curated content, recommendations, photographs, and the overall look and feel of the Service, is owned by or licensed to Meezi and is protected by copyright, trademark, and other intellectual property laws.

10.2 Limited license to you

Subject to your compliance with these Terms, Meezi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

10.3 Restrictions

You may not:

• Copy, modify, distribute, sell, lease, or sublicense any part of the Service or its content
• Reverse engineer, decompile, or attempt to extract source code
• Scrape, crawl, or use automated tools to access the Service
• Use the Service or its content to train or develop competing AI models, recommendation systems, or travel products
• Remove or alter any copyright, trademark, or proprietary notices

10.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Meezi a perpetual, irrevocable, royalty-free license to use them without any obligation to you.

11. Paid Features and Subscriptions

11.1 Free and paid tiers

Meezi offers both free features and paid features. Paid features may be offered as one-time purchases or as subscriptions. The features, pricing, and billing terms of paid tiers are displayed in the Service at the time of purchase and may be updated from time to time.

11.2 Payment processing

Payments for paid features are processed by Stripe and, where applicable, by Apple App Store or Google Play. Meezi does not store your full payment card information.

11.3 Subscriptions

If you purchase a subscription, it will renew automatically for the same period at the then-current price unless cancelled before the end of the current billing cycle. You can manage or cancel subscriptions through your account settings or through the platform from which you purchased (App Store or Google Play).

11.4 Refunds

Refund policies are governed by the platform through which you purchased (App Store, Google Play, or Stripe). Mandatory refund rights provided by applicable consumer protection laws in your jurisdiction remain unaffected.

11.5 Price changes

Meezi may change the price of paid features. For active subscriptions, we will provide at least 30 days advance notice of price changes by email or in-app notification, and you may cancel before the change takes effect if you do not agree.

12. Termination

12.1 Termination by you

You may stop using the Service and delete your account at any time through your account settings or by contacting ops@meezi-labs.com.

12.2 Termination by Meezi

Meezi may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or risk to other users or to Meezi.

12.3 Effect of termination

Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination (including, without limitation, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, either express or implied.

Meezi and its affiliates, officers, employees, agents, and service providers expressly disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, completeness, quality, availability, and uninterrupted operation.

Without limiting the foregoing, Meezi does not warrant that:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• Any errors or defects will be corrected
• The information or recommendations provided through the Service are accurate, complete, or current
• Third-Party Suppliers will provide services as described

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Meezi, its affiliates, officers, employees, agents, or service providers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, lost data, loss of goodwill, personal injury, or property damage, arising out of or in connection with:

• Your use of or inability to use the Service
• Any content obtained from the Service, including AI-generated content and curated recommendations
• Any interaction with Third-Party Suppliers or booking partners
• Any trip, travel, or activity undertaken based on information from the Service
• Unauthorized access to or alteration of your content or account

To the maximum extent permitted by law, Meezi's total cumulative liability arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amounts you have paid to Meezi in the twelve (12) months prior to the event giving rise to the liability, or (b) one hundred US dollars (USD $100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable mandatory law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Meezi and its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of these Terms
• Your User Content
• Your interaction with Third-Party Suppliers
• Your violation of any law or third-party rights

16. Changes to the Service

Meezi may modify, suspend, or discontinue the Service or any feature of the Service at any time, with or without notice. We are not liable to you or to any third party for any modification, suspension, or discontinuation of the Service.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the Service or by email and will indicate the effective date of the revised Terms in that notice or with the updated Terms in the app or on our website. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of laws principles.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所) as the court of first instance.

Notwithstanding the foregoing, if you are a consumer residing in a jurisdiction with mandatory consumer protection laws, you may also have rights under such laws that cannot be waived or limited by these Terms.

19. Miscellaneous

19.1 Entire agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Meezi regarding the Service and supersede any prior agreements.

19.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

19.3 No waiver

Meezi's failure to enforce any right or provision of these Terms will not be considered a waiver of that right.

19.4 Assignment

You may not assign or transfer these Terms without our prior written consent. Meezi may assign these Terms without restriction.

19.5 No agency

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Meezi.

19.6 Language

These Terms are written in English. Any translation is provided for convenience only. In case of inconsistency between the English version and any translation, the English version prevails, except where mandatory local law requires otherwise.
